These Terms of Service ("Terms") govern your use of bmsachs.com ("the Site") and any consulting services provided by Blackman Morgan Sachs Group, LLC ("we," "us," or "our"), based in Baton Rouge, Louisiana.
You agree to use the Site for lawful purposes only. You may not reproduce, distribute, or create derivative works from Site content without our written permission. The Site and its content are protected by copyright and trademark law.
BMSachs provides AI consulting and custom software development services. Specific scope, deliverables, timelines, and payment terms are governed by a separate engagement letter or statement of work executed between BMSachs and the client. These Terms do not, by themselves, create a consulting engagement.
Consulting engagements are priced on a fixed-fee basis. Final pricing is documented in the engagement letter or statement of work executed between BMSachs and the client. Representative pricing ranges are discussed during the initial consultation.
Specific IP allocation between BMSachs and the client is governed by the engagement letter. Default position: client owns the deliverable; BMSachs retains rights to general methodologies, frameworks, and reusable components.
Both parties agree to hold confidential information shared during an engagement in confidence. Specific confidentiality terms (NDA-equivalent) are included in every engagement letter.
To the maximum extent permitted by law, our total liability arising from or related to the Site or our services is limited to the amount paid by client to BMSachs for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
The Site and its content are provided "as is" without warranty of any kind. We do not guarantee uninterrupted or error-free Site operation. Information on the Site is for general informational purposes and does not constitute legal, financial, medical, or professional advice.
These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-laws principles. Any disputes arising from these Terms or the use of our Site will be resolved in the state or federal courts located in East Baton Rouge Parish, Louisiana.
We may update these Terms from time to time. Continued use of the Site after changes constitutes acceptance of the updated Terms.
